These Terms of Service (“Terms”) are a legal agreement between you and Lee Realty, LLC (“Lee Realty, LLC,” “we,” “us,” or “our”) governing your access to and use of Lee Realty e-Sign (the “Service”), our platform for preparing, sending, signing, and storing electronic documents. By creating an account, sending a document, or signing a document through the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Eligibility
You must be at least 18 years old and able to form a binding contract to use the Service. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.
2. Accounts
To send documents you must register an account. You agree to provide accurate information, keep your password confidential, and remain responsible for all activity under your account. Notify us promptly of any unauthorized use. We may suspend or terminate accounts that violate these Terms.
3. Acceptable use
You agree not to use the Service to: (a) upload or send unlawful, fraudulent, infringing, or harmful content; (b) forge signatures or misrepresent your identity or authority; (c) send unsolicited bulk messages; (d) attempt to gain unauthorized access to the Service or its systems; (e) interfere with or disrupt the Service; or (f) violate any applicable law or the rights of others.
4. Your content and documents
You retain all rights to the documents and content you upload or generate (“Your Content”). You grant us a limited license to host, process, transmit, and display Your Content solely to provide and secure the Service. As the sender, you are solely responsible for Your Content and for ensuring that your use of electronic signatures, and the documents you send, comply with all laws applicable to your transactions. We are not a party to the agreements you execute and do not provide legal advice.
5. Electronic signatures and legal validity
The Service facilitates electronic signatures under the U.S. Electronic Signatures in Global and National Commerce Act (ESIGN) and the Uniform Electronic Transactions Act (UETA). Before signing, each signer is presented with, and must consent to, our Electronic Records and Signatures Disclosure. You acknowledge that certain documents and transactions may be excluded from electronic-signature laws or require additional formalities, and that determining whether an electronic signature is appropriate for a given document is your responsibility.
6. Free trial and fees
We may offer the Service, or portions of it, free of charge or on a trial basis. We may change, introduce, or discontinue fees or features at any time, with notice where required. Any paid features will be described at the point of purchase.
7. Third-party services
The Service relies on third-party providers (for example, Amazon Web Services for email delivery, and our identity-verification provider). Your use of the Service may be subject to those providers’ terms, and we are not responsible for third-party services.
8. Intellectual property
The Service, including its software, design, and trademarks, is owned by Lee Realty, LLC and its licensors and is protected by law. These Terms grant you no rights in the Service except the limited right to use it in accordance with these Terms.
9. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DOCUMENT SIGNED THROUGH THE SERVICE WILL BE ENFORCEABLE. THE SERVICE DOES NOT PROVIDE LEGAL ADVICE.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEE REALTY, LLC AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM OR ONE HUNDRED U.S. DOLLARS ($100).
11. Indemnification
You agree to indemnify and hold harmless Lee Realty, LLC and its affiliates from any claims, liabilities, damages, and expenses (including reasonable attorneys’ fees) arising out of Your Content, your use of the Service, or your violation of these Terms or applicable law.
12. Termination
You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms or to protect the Service or other users. Provisions that by their nature should survive termination (including ownership, disclaimers, limitation of liability, and indemnification) will survive.
13. Governing law
These Terms are governed by the laws of the State of Washington, USA, without regard to its conflict-of-laws rules. You agree to the exclusive jurisdiction of the state and federal courts located in that jurisdiction, except where prohibited by applicable law.
14. Changes to these Terms
We may update these Terms from time to time. Material changes will be indicated by updating the “Last updated” date and, where appropriate, by additional notice. Your continued use of the Service after an update constitutes acceptance of the revised Terms.
